It is our desire to establish mutually beneficial relationships with those individuals exhibiting insight and creativity, and who, working closely with us, are interested in having their ideas presented to NF's manufacturing clients in the Toy, Gift and Juvenile Product Industries. On rare occasions, solicited and unsolicited ideas may be the same or similar to ideas developed by us or others with whom we work. If another inventor has created a substantially similar product, we will provide you their name, address, and phone number so you can contact them directly. If we have created a similar product, we will send you documentation in the form of photos, concept description (or rules of play), the product's creation date, along with a list of our manufacturing clients who have seen the product in past new product presentation meetings. Therefore, in order to avoid any future disagreements, NF will only consider outside Concepts with the following understanding: TERMS OF AGREEMENT 1. We agree to keep your Concept and the Information you are disclosing confidential. We further agree not to use, sell, assign, or disclose to any other person, organization, or corporation, your Concept, unless specifically agreed to by you in a subsequent Representation Agreement. 2. We will consider all Concepts and Information submitted to be "Confidential", unless it is: a. Similar in nature to information and/or Concepts created by our own staff or others, as fully demonstrated by our records. b. Information and/or Concepts that are in the "Public Domain" and generally available. c. Information, concerning Concept, disclosed by you without restrictions to any third party. 3. You understand that NF's willingness to consider your Concept is not an admission by NF of novelty or originality. 4. You further understand that we cannot be bound in any manner by Concepts or Ideas of a "general nature", and which cannot be protected under the Patent or Copyright Statutes of the United States of America. (Example: "Hovering Shoes" Great idea!... But, you don't know how to make them work.) 5. Finally, you hereby represent that you have the right to disclose the Concept, and to make the present Agreement without involvement of a third party.
